BinLeads Service Terms
These terms apply to businesses using BinLeads. They do not apply to ordinary retail customers buying from a BinLeads client.

1. Service description
BinLeads is a managed customer-response and order-handling service operated by PostUp Biz. Depending on the agreed setup, it may include website-to-WhatsApp order handoff, automated customer responses, payment instructions, payment-proof collection, delivery-detail collection, supervisor alerts, dashboard access, managed onboarding, configuration, testing, and support.
2. Managed implementation
PostUp Biz may perform onboarding, configuration, integration, workflow setup, testing, activation, and ongoing support. Timing depends on the client supplying accurate information, access, approvals, payments, and test participation. Activation is not instant and should occur only after the agreed readiness checks are complete.
3. Commercial terms
BinLeads does not use one permanent universal price in these public terms. Each client’s accepted proposal, invoice, order form, or commercial schedule defines the setup fee, monthly fee, billing date, included usage, excess provider costs, commitment period, renewal, cancellation notice, and support scope.
- Recurring fees are normally billed in advance.
- Implementation normally begins after the required initial payment.
- Setup fees may become non-refundable after implementation work begins.
- Excess provider usage may be billed where stated in the commercial schedule.
- Accepted fees are not changed retrospectively without agreement.
At this version date, the separate founding-client commercial schedule uses a GH₵999 setup fee, GH₵200 monthly paid in advance, and a three-month initial commitment from go-live. Provider costs may apply, and excess provider usage will be disclosed and billed separately where stated in the client’s accepted commercial documents. Those terms are not permanent universal platform pricing.
4. Client responsibilities
The client must:
- provide accurate business, product, pricing, payment, and delivery information;
- keep payment instructions and delivery rules current;
- nominate authorised supervisors and restrict account access to authorised staff;
- independently verify payments and fulfil accepted orders;
- comply with applicable consumer, privacy, marketing, and sector laws;
- obtain appropriate customer permissions where required; and
- protect account access and report suspected misuse or security issues promptly.
5. Payment-proof limitation
BinLeads collects and displays proof for review; it does not automatically verify that payment reached the client. Proof may be false, altered, incomplete, duplicated, or unrelated. The client is responsible for checking actual receipt of funds through its own payment account before fulfilment.
6. WhatsApp and third-party services
Messaging and hosting depend on third parties including WhatsApp, Meta, Twilio, telecommunications networks, email providers, and hosting providers. Message delivery may be delayed; templates may require approval; sender verification may be required; third-party service windows and policies apply; and suspension, rejection, or outages may occur outside PostUp Biz’s direct control. BinLeads does not guarantee uninterrupted delivery.
7. Acceptable use
The client must not use BinLeads for:
- fraud, unlawful sales, deceptive messaging, spam, or harassment;
- credential collection, malware, unauthorised monitoring, or access-control bypassing;
- unlawful or restricted business activity without appropriate approval; or
- activity that violates WhatsApp, Meta, Twilio, telecommunications, hosting, or other applicable platform rules.
8. Client data and confidentiality
Clients remain responsible for their business and customer data. PostUp Biz processes information as required to operate, secure, administer, and support BinLeads. Both parties should protect confidential information and limit access to people who need it for authorised work. The Privacy Notice provides more information about data handling.
9. Suspension
PostUp Biz may suspend some or all service for overdue fees, security risks, unlawful use, material breach, provider suspension, risk to customers, or risk to platform infrastructure. Reasonable notice will be given where practical.
Historical access may remain read-only where technically and operationally appropriate. Read-only access is not guaranteed in every security incident, provider suspension, or emergency.
10. Cancellation and offboarding
Minimum commitments and notice periods are defined in the client’s commercial schedule. Accrued fees remain payable. A client may request an export during a reasonable offboarding period, after which information may be deleted subject to legal, security, backup, and operational retention requirements.
11. Service changes
PostUp Biz may make reasonable operational, reliability, usability, and security improvements. Material commercial changes require notice and do not retrospectively alter previously accepted fees without agreement.
12. Intellectual property
PostUp Biz retains ownership of the BinLeads software, workflows, systems, platform design, and related materials. Clients retain ownership of their trademarks, products, business information, and supplied content. Each client grants PostUp Biz the limited permission needed to process, transmit, and display that content through BinLeads and its service providers.
13. Availability
PostUp Biz uses reasonable operational efforts to keep BinLeads available and useful. No formal uptime guarantee applies unless separately agreed in writing. Planned maintenance, telecommunications problems, and third-party outages may occur.
14. Liability
To the extent permitted by law, PostUp Biz is not responsible for loss arising primarily from false payment proof, inaccurate client configuration, incorrect client information, client fulfilment decisions, unauthorised client-account access caused by the client’s handling of credentials, or third-party outages where PostUp Biz acted reasonably.
Nothing in these terms excludes or restricts liability that cannot legally be excluded or restricted. No arbitrary monetary liability cap is created by these public terms. Any specific cap should be stated in a signed commercial agreement.
15. Governing framework
These terms are governed by the laws of Ghana, subject to any different or additional terms in a separate signed agreement.
